Website Maintenance Plan – Terms & Conditions

These Terms and Conditions (“Agreement”) govern the provision of WordPress Website Maintenance Services by Conrad-Media (“we”, “us”, “our”) to the client (“you”, “your”). By signing up for a maintenance plan, you confirm that you have read, understood, and agree to be bound by this Agreement.
1. About Conrad-Media
Conrad-Media is a web development and maintenance agency operated as an auto-entrepreneur (sole trader) registered in France under SIRET [YOUR SIRET NUMBER]. We provide services to business clients in the United Kingdom and internationally.
2. Services Included
Your monthly maintenance plan includes the following services, carried out on a rolling monthly basis:
- WordPress core updates — updates to the WordPress core software as stable releases become available
- Theme updates — updates to your active theme as releases become available
- Plugin updates — updates to all installed and active plugins as releases become available
- Security monitoring — ongoing monitoring of your website for known vulnerabilities, malware, and suspicious activity
- Offsite backups — regular backups of your website files and database, stored securely offsite
- Uptime monitoring — automated monitoring of your website’s availability, with alerts in the event of unexpected downtime
What Is Not Included
Unless separately agreed in writing, the following are not included in the monthly maintenance plan:
- New page or website development
- Redesign or structural changes to your website
- Content creation, copywriting, or SEO
- E-commerce management or product updates
- Recovery from damage caused by third-party modifications made without our knowledge
- Domain name or hosting fees
- Premium plugin or theme licence renewal costs
Additional services outside the scope above can be quoted and provided separately upon request.
3. Client Responsibilities
To enable us to carry out maintenance services effectively, you agree to:
- Provide us with appropriate WordPress administrator access prior to commencement of services
- Provide hosting panel access (e.g. cPanel, Plesk) if required for backup or server-level tasks
- Notify us promptly of any changes made to your website by third parties
- Ensure your hosting environment meets minimum WordPress requirements
- Not make significant changes to plugins, themes, or core files without notifying us in advance
We cannot be held responsible for issues arising from changes made to your website by you or any third party without our prior knowledge.
4. Payment Terms
Monthly Fee
The maintenance plan is charged at a fixed monthly rate as agreed at the time of sign-up, payable in GBP (£).
Payment Method
Payment is taken monthly in advance by card via Stripe, our secure payment processor. By signing up, you authorise Conrad-Media to charge your nominated card on a recurring monthly basis.
Payment Date
Your first payment is taken at the point of sign-up. Subsequent payments are taken on the same calendar date each month.
Failed Payments
In the event of a failed payment, we will notify you and allow a grace period of 5 calendar days for payment to be resolved. If payment is not received within this period, services may be suspended until the outstanding balance is settled.
Price Changes
We reserve the right to amend our monthly fees. You will be given no less than 3 days’ written notice of any price change, during which time you may cancel without penalty under the notice terms below.
5. VAT and Tax
Our Position
Conrad-Media is registered in France and operates under the French franchise en base de TVA regime. We do not charge French VAT on services provided to business clients outside France. No VAT will appear on invoices issued to UK clients.
UK Client Responsibilities – Reverse Charge VAT
If you are a VAT-registered business in the United Kingdom, you may be required to account for VAT under the UK reverse charge mechanism in respect of services received from suppliers outside the UK.
Under this mechanism:
- You are responsible for self-assessing and declaring the applicable UK VAT (currently 20%) on payments made to Conrad-Media via your own VAT return
- This is reported in boxes 1 and 4 of your VAT return, and is typically tax-neutral for VAT-registered businesses
- Conrad-Media does not collect, remit, or account for UK VAT on your behalf
If you are unsure of your UK VAT obligations, we strongly recommend consulting your accountant or tax adviser. This clause is provided for informational purposes and does not constitute tax advice.
Non-VAT-Registered UK Clients
If you are not VAT-registered in the UK, you should seek independent advice as to whether any VAT self-assessment obligation applies to your circumstances. Conrad-Media accepts no liability for your tax compliance.
6. Commencement and Notice Period
Commencement
Services commence upon receipt of your first payment and completion of website access setup.
Cancellation by You
You may cancel your maintenance plan at any time by giving 30 days’ written notice, sent to [YOUR EMAIL ADDRESS]. Payments already taken are non-refundable.
Example: If you give notice on 1st October, your final day of service will be 31st October. If a billing date falls within the notice period, that payment will be taken and services will continue until 30 days from the date notice was received.
Cancellation by Us
We reserve the right to terminate this Agreement by giving you 30 days’ written notice. In the event of material breach of these terms by you (including non-payment), we reserve the right to suspend or terminate services immediately.
Effect of Cancellation
Upon termination, we will provide you with a final backup of your website files and database within 10 business days of the end of the notice period, upon request.
7. Liability
Limitations
Conrad-Media will carry out all maintenance services with reasonable skill and care. However, we do not guarantee that your website will be entirely free from security vulnerabilities, downtime, or data loss at all times.
Our total liability to you in respect of any claim arising from this Agreement shall not exceed the total fees paid by you in the three months immediately preceding the event giving rise to the claim.
Exclusions
We accept no liability for:
- Loss of revenue, profits, or business arising from website downtime or data loss
- Damage caused by your hosting provider, third-party plugins, or software outside our control
- Issues arising from modifications made by you or any third party without our prior knowledge
- Incompatibilities introduced by third-party plugin or theme updates outside our control
Force Majeure
We will not be liable for any delay or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control.
8. Confidentiality
Both parties agree to keep confidential any sensitive information shared in the course of this Agreement, including website access credentials, business information, and client data. Access credentials provided to Conrad-Media will be stored securely and used solely for the purposes of providing the agreed services.
9. Data and Privacy
Conrad-Media processes personal and business data in accordance with applicable data protection law, including the UK GDPR where applicable. Website access credentials and contact information provided by you will be used solely for the delivery of maintenance services and will not be shared with third parties except where required by law.
10. Governing Law and Disputes
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. In the event of a dispute, both parties agree to attempt to resolve the matter informally in the first instance. If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Amendments
We reserve the right to update these Terms and Conditions from time to time. You will be notified of any material changes by email with no less than 3 days’ notice. Continued use of the service after that period constitutes acceptance of the revised terms.
12. Entire Agreement
This Agreement constitutes the entire agreement between Conrad-Media and the client in respect of the maintenance services described herein, and supersedes any prior discussions, representations, or agreements.
