These Website Development Terms (“Agreement”) govern the provision of website development services by Conrad-Media (“we”, “us”, “our”) to the client (“you”, “your”). They apply to all WordPress brochure site, WooCommerce, and bespoke development projects and should be read alongside our General Terms of Service, which also apply to all engagements.
By accepting a Proposal or making a deposit payment, you confirm that you have read, understood, and agree to be bound by this Agreement.
1. Scope of Services
1.1 Project Definition
The scope of each development project is defined in the written Proposal issued by Conrad-Media prior to commencement. The Proposal sets out the agreed deliverables, timeline, inclusions, exclusions, and fees specific to that project.
1.2 Types of Projects
Conrad-Media provides the following types of development services:
- WordPress brochure sites – informational websites built on WordPress with a suitable theme and plugins
- WooCommerce sites – e-commerce websites built on WordPress using the WooCommerce platform
- Bespoke builds – custom WordPress development including custom themes, custom functionality, third-party integrations, and tailored solutions
1.3 What Is Not Included Unless Specified
Unless explicitly stated in the Proposal, the following are not included in a development project:
- Copywriting or content creation
- Photography, videography, or custom illustration
- Search engine optimisation (SEO) beyond basic on-page setup
- Domain name registration or transfer
- Hosting setup or fees
- Third-party plugin or theme licence costs
- Ongoing maintenance after the post-launch support period
- Training beyond one handover session as described in clause 8
- Translation or multilingual content
Any additional requirements outside the agreed scope will be quoted separately before work proceeds.
2. Project Process
2.1 Discovery and Brief
All projects commence with a discovery phase in which Conrad-Media works with the client to establish a clear written brief. The brief, once agreed, forms the basis of the Proposal and the project scope.
2.2 Design and Development Stages
Projects typically progress through the following stages, though the exact process may vary by project type and complexity:
- Brief agreement and deposit payment
- Design concepts or wireframes (where applicable)
- Development build on a staging environment
- Client review and feedback
- Revisions (as per clause 3)
- Client sign-off
- Testing and quality assurance
- Launch
- Post-launch support period
2.3 Staging Environment
All development work is carried out on a staging or development environment before launch. The client will be provided with access to review the staging site during the review stage.
2.4 Timeline
Estimated project timelines are set out in the Proposal. Conrad-Media will make all reasonable efforts to deliver within the agreed timeline. Timelines are typically 4–8 weeks from deposit receipt to launch, depending on project complexity and the timely provision of content and approvals by the client.
Conrad-Media cannot be held responsible for delays resulting from late provision of content, materials, or approvals by the client. Where client delays cause a significant disruption to the project schedule, Conrad-Media reserves the right to reschedule the project and, where applicable, apply a restart fee.
3. Revisions and Change Requests
3.1 Included Revisions
Each project includes a defined number of revision rounds as specified in the Proposal. Revisions are understood to mean reasonable amendments within the agreed scope — adjustments to layout, content, colours, and functionality as defined in the brief.
3.2 Out-of-Scope Changes
Requests that materially alter the agreed scope, add new functionality, or require significant additional work are considered change requests and are not covered by included revisions. Conrad-Media will provide a written quote for any out-of-scope change request before proceeding. No additional work will commence without written agreement and, where applicable, an additional payment.
3.3 Scope Creep
Conrad-Media reserves the right to pause a project and issue a revised Proposal if cumulative change requests materially expand the original scope. This protects both parties and ensures the project remains clearly defined and fairly priced.
4. Client Content and Materials
4.1 Client Responsibilities
The client is responsible for providing all content required for the project, including:
- Written copy and text for all pages
- Images, logos, brand assets, and media files
- Product information and photography (for WooCommerce projects)
- Any third-party account access required (e.g. hosting, domain registrar)
Content should be provided in the format agreed in the brief and within the timeframe specified in the project schedule.
4.2 Content Delays
If the client fails to provide required content within 14 days of a scheduled content deadline, Conrad-Media reserves the right to:
- Pause the project until content is received
- Revise the project timeline accordingly
- Apply a project restart fee if the delay exceeds 30 days
4.3 Content Ownership
The client warrants that all content supplied to Conrad-Media is owned by the client or properly licensed for use, and does not infringe any third-party intellectual property, privacy, or other rights. Conrad-Media accepts no liability for any claim arising from client-supplied content.
5. Fees and Payment
5.1 Payment Structure
Unless otherwise agreed in the Proposal, development projects are invoiced as follows:
- 50% deposit – due upon acceptance of the Proposal; work commences upon receipt
- 50% balance – due upon completion of the project and prior to launch or final file delivery
5.2 Additional Costs
Any third-party costs agreed during the project – including premium theme or plugin licences, stock photography, or hosting setup – will be invoiced separately or included in a revised Proposal.
5.3 Withholding of Deliverables
Conrad-Media reserves the right to withhold launch, final file delivery, or transfer of completed work until all outstanding invoices have been paid in full.
5.4 Project Abandonment
If a project is abandoned by the client – defined as no client communication or response for 30 consecutive days following a request from Conrad-Media – the project will be considered cancelled. In such cases:
- The deposit is non-refundable
- Any additional work completed beyond the deposit value will be invoiced and is payable within 14 days
- Conrad-Media retains ownership of all work completed until full payment is received
6. Intellectual Property
6.1 Transfer of Ownership
Upon receipt of full and final payment, Conrad-Media transfers to the client all intellectual property rights in the custom Deliverables produced specifically for that project.
6.2 Third-Party Components
Many WordPress projects incorporate third-party components including themes, plugins, and libraries. These remain subject to their own licences (typically GPL or commercial licences). Conrad-Media will identify any commercially licensed components in the Proposal or during the project. The client is responsible for renewing any required licences after project completion.
6.3 Conrad-Media Tools and Frameworks
Conrad-Media retains ownership of any proprietary tools, frameworks, or code developed independently of this project. Where such tools are incorporated, the client receives a non-exclusive licence to use them as part of the delivered website.
6.4 Portfolio Rights
Conrad-Media reserves the right to include the completed project in its portfolio and case studies unless the client requests confidentiality in writing before project completion.
7. Testing, Sign-Off, and Launch
7.1 Client Review
Upon completion of development on the staging environment, Conrad-Media will notify the client and provide access for review. The client will have 7 calendar days to review the staging site and provide consolidated feedback.
7.2 Sign-Off
Once all agreed revisions have been completed, Conrad-Media will request formal written sign-off from the client. Sign-off confirms that the project is complete and approved for launch. Sign-off may be given by email.
7.3 Deemed Acceptance
If the client does not respond to a sign-off request within 7 calendar days, the project will be deemed accepted and approved for launch.
7.4 Launch
Launch will be scheduled following sign-off and receipt of the balance payment. Conrad-Media will carry out the migration from staging to live environment and confirm when the site is live.
8. Handover and Training
8.1 Handover
Upon launch, Conrad-Media will provide the client with:
- WordPress administrator login credentials
- A basic handover document or video walkthrough covering day-to-day content management
- Details of any third-party licences or accounts set up during the project
8.2 Training
One handover session (remote, up to 60 minutes) is included in all projects to walk the client through managing their website. Additional training sessions can be arranged at our standard hourly rate.
9. Post-Launch Support Period
9.1 Included Support
All completed development projects include a 30-day post-launch support period during which Conrad-Media will address any bugs, errors, or technical issues directly attributable to the development work at no additional charge.
9.2 What Is Covered
The post-launch support period covers:
- Bugs or errors in the developed functionality
- Display or layout issues not identified during the review stage
- Technical issues caused by the development work itself
9.3 What Is Not Covered
The post-launch support period does not cover:
- New feature requests or changes to scope
- Issues caused by client modifications after launch
- Issues caused by third-party plugin or theme updates after launch
- Hosting or server-related issues outside Conrad-Media’s control
- Ongoing maintenance (covered separately by our maintenance plan)
9.4 Transition to Maintenance Plan
At the end of the post-launch support period, we recommend transitioning to our WordPress Care Plan for ongoing maintenance, security monitoring, updates, and backups. Details of our maintenance plans are available at [MAINTENANCE PAGE URL].
10. Limitation of Liability
10.1 Development Work
Conrad-Media will carry out all development work with reasonable skill and care. However, we do not guarantee that the website will be entirely free from errors or that it will function without interruption on all devices, browsers, and configurations in perpetuity.
10.2 Third-Party Platforms
Conrad-Media accepts no liability for issues arising from changes to third-party platforms, plugins, themes, or hosting environments after project completion and outside the post-launch support period.
10.3 Cap on Liability
Conrad-Media’s total liability under this Agreement shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute arising under or in connection with this Agreement.
12. Entire Agreement
This Agreement, together with the General Terms of Service and the relevant Proposal, constitutes the entire agreement between the parties in respect of the development project described, and supersedes all prior discussions, representations, and agreements.
